1. Definitions

For the purposes of these Terms and Conditions:

• "Company," "We," "Us," "Our" means A&A Innovation Labs Private Limited (CIN: U62099BR2025PTC081237), incorporated in Bihar, India.
• "Apps" or "Services" means the Sarthi suite of mobile applications: KaryaSarthi, KishanSarthi, LocalSarthi, MatasyaSarthi, and VyaparSarthi, and any associated websites, APIs, or services operated by the Company.
• "User," "You," "Your" means any individual who downloads, accesses, or uses the Apps.
• "Account" means the user account you create to access certain features of the Apps.
• "Content" means any data, text, images, or information you submit, upload, or create using the Apps.
• "Device" means your mobile phone, tablet, or any other device used to access the Apps.

2. Acceptance of Terms

By accessing or using the Apps, you affirm that:

• You have read, understood, and agreed to be bound by these Terms and Conditions.
• You have read and accepted our Privacy Policy.
• You have the legal capacity and authority to enter into this agreement.
• Your use of the Apps is in compliance with all applicable local, state, national, and international laws and regulations.

If you are using the Apps on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Eligibility

You must be at least 13 years of age to use the Apps. Users between 13 and 18 years of age may only use the Apps with the consent and supervision of a parent or legal guardian who agrees to these Terms on their behalf.

Certain features of the Apps — particularly those related to financial transactions, bank account details, or professional activities — may require that you be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater.

4. User Accounts

4.1 Registration

Certain features require you to create an account using Google Sign-In. By creating an account, you agree to provide accurate, current, and complete information and to update it as necessary.

4.2 Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Immediately notify us of any unauthorised use of your account.
• Not share your account credentials with any third party.
• Not create multiple accounts for deceptive purposes.

4.3 Employee Accounts (KaryaSarthi)

Access to KaryaSarthi is restricted to authorised employees and field staff. Accounts are granted specific app permissions (such as weight logging or user directory access) by designated administrators. Misuse of assigned permissions is a violation of these Terms and may result in immediate account termination.

4.4 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion, with or without prior notice.

5. Permitted Use

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Apps solely for their intended purpose, subject to these Terms. Permitted uses include:

• Using the Apps for personal, professional, or organisational agricultural, fishing, logistics, or commercial activities as designed.
• Recording weight logs, produce entries, user registrations, and other operational data as authorised.
• Viewing, syncing, and managing data associated with your account.
• Using bilingual (English/Hindi) features of the Apps.

6. Prohibited Activities

You agree not to engage in any of the following activities:

• Reverse Engineering: Decompile, disassemble, reverse engineer, or attempt to derive the source code of the Apps.
• Fraudulent Use: Use the Apps to record false, misleading, or fraudulent data including false weight logs, fake user registrations, or counterfeit receipts.
• Unauthorised Access: Attempt to access systems, data, or accounts that you are not authorised to access.
• Interference: Disrupt, damage, or interfere with the proper functioning of the Apps or our servers.
• Malicious Code: Upload or transmit viruses, malware, or other harmful code.
• Data Harvesting: Scrape, extract, or harvest data from the Apps or our servers without written permission.
• Impersonation: Impersonate any person, business, or entity, including our employees or representatives.
• Illegal Activities: Use the Apps in connection with any illegal activities under the laws of India.
• Commercial Resale: Resell, sublicense, or commercially exploit the Apps without our written consent.

7. Intellectual Property

The Apps and all content, features, and functionality therein — including but not limited to text, graphics, logos, icons, images, audio clips, source code, and software — are the exclusive property of A&A Innovation Labs Private Limited or its licensors and are protected by applicable intellectual property laws in India and internationally.

The "Sarthi" brand name, logo, and app names (KaryaSarthi, KishanSarthi, LocalSarthi, MatasyaSarthi, VyaparSarthi) are trademarks of A&A Innovation Labs Private Limited. You may not use these marks without our prior written consent.

Nothing in these Terms grants you any right, title, or interest in the Apps or our intellectual property beyond the limited licence expressly stated herein.

8. User-Generated Content

By submitting content to the Apps (including weight logs, user records, and other operational data), you grant A&A Innovation Labs a worldwide, non-exclusive, royalty-free licence to store, process, display, and transmit that content solely for the purpose of operating and providing the Services.

You represent and warrant that:

• You own or have the necessary rights to submit the content.
• The content does not violate any third party's rights or any applicable law.
• The content is accurate and not fraudulent.

We reserve the right to remove or disable access to any content that violates these Terms or that we determine, in our sole discretion, to be harmful, illegal, or inappropriate.

9. Disclaimers

THE APPS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE SERVICE.

We do not warrant that:

• The Apps will always be available, uninterrupted, timely, secure, or free from errors.
• The results obtained from using the Apps will be accurate, reliable, or meet your requirements.
• Any errors in the Apps will be corrected.

The Apps are designed to assist rural communities with operational tasks. They are not a substitute for professional agricultural, legal, financial, or medical advice. Always consult appropriate professionals for such matters.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, A&A INNOVATION LABS PRIVATE LIMITED AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Any loss of profits, revenue, data, business, or goodwill.
• Any loss or corruption of data entered into the Apps.
• Any damages arising from your reliance on information provided through the Apps.
• Any unauthorised access to or alteration of your data due to factors beyond our reasonable control.

Our total cumulative liability to you for any claims arising from the use of the Apps shall not exceed the amount paid by you (if any) for the Apps in the preceding 12 months. As the Apps are currently provided free of charge, this limit shall be ₹1,000 (One Thousand Indian Rupees).

11. Indemnification

You agree to defend, indemnify, and hold harmless A&A Innovation Labs Private Limited, its directors (Akash Anand and Anil Kumar), officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Apps or violation of these Terms.
• Your violation of any applicable law or regulation.
• Any content you submit, post, or transmit through the Apps.
• Your infringement of any third party's rights.

12. Termination

We may suspend or terminate your access to the Apps at any time, with or without cause or notice, including for:

• Violation of these Terms or our Privacy Policy
• Requests by law enforcement or other government agencies
• Unexpected technical or security issues
• Extended periods of inactivity
• Discontinuation of the Apps or Services

Upon termination, your right to use the Apps ceases immediately. We may retain your data as required by law or for legitimate business purposes in accordance with our Privacy Policy.

You may terminate your use of the Apps at any time by uninstalling them and requesting account deletion as described in our Privacy Policy.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. The provisions of the Information Technology Act, 2000 and the Consumer Protection Act, 2019 shall apply where relevant.

13.1 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or in connection with these Terms or the use of the Apps, the parties shall first attempt to resolve the matter amicably through good-faith negotiations for a period of 30 days.

13.2 Arbitration

If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English, with the seat of arbitration in Supaul, Bihar, India. The arbitral award shall be final and binding on both parties.

13.3 Jurisdiction

Notwithstanding the arbitration clause, either party may seek injunctive or other equitable relief in the courts of competent jurisdiction in Bihar, India. You expressly consent to the exclusive jurisdiction of the courts of Supaul, Bihar for any such proceedings.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• The "Last Updated" date will be revised at the top of this page.
• For material changes, we will notify users through in-app notifications or via the registered email address.
• Your continued use of the Apps after the effective date of modified Terms constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you must discontinue using the Apps and may request account deletion.
